Fujitsu Establishes Executive Nomination and Compensation Committee

Fujitsu Limited announced that its Board of Directors decided at a meeting today to establish an Executive Nomination and Compensation Committee.

1. Purpose of the Committee

(1) To ensure the transparency and objectivity of the process to select board members of the company
(2) To ensure the transparency and objectivity of the process to determine executive compensation, as well as the appropriateness of compensation systems and levels

2. Role of the Committee

The committee will discuss the items listed below and make recommendations to the Board of Directors.

(1) Proposals on the nomination of board members to be submitted to shareholders’ meeting
(2) Proposals on executive compensation to be submitted to shareholders’ meeting
(3) Proposals on the calculation of compensation for each level of board member and corporate executive officer
