Fujitsu Strengthens Corporate Governance and Risk Management Capabilities through Acquisition of M3K

Transaction adds capacity and expertise to North American operations of Fujitsu Consulting

Montreal, QC, May 3, 2006 — Fujitsu Consulting today announced that it has agreed to acquire M3K – the corporate governance and risk management consulting division of Quebec City-based Amadeus International Inc. (TSX-V: AML). This acquisition is part of Fujitsu Consulting’s long-term strategy to enhance its presence and capabilities in North America. It is also part of Fujitsu Consulting’s strategy to create concentrations of clearly differentiated and market-leading expertise within high-growth markets.

“Most large companies know that they need to adopt a structured approach in complying with evolving standards of disclosure as defined by Sarbanes-Oxley and Bill 198. However, few organizations can define, measure and manage risks across the enterprise while meeting these compliance requirements,” said André Pouliot, executive vice president of Fujitsu Consulting. “Fujitsu Consulting is an acknowledged leader in enterprise risk management and compliance consulting and we are determined to extend our consulting capacity throughout North America. Today’s announcement of our acquisition of M3K is clear evidence of this commitment.”

Consultants from M3K who will now be joining Fujitsu Consulting will be part of a newly-formed enterprise risk management business unit. Paired with February’s announcement of the acquisition of GIM Risk Management of Montreal, Fujitsu Consulting has quickly developed a capability to deliver upon large-scale risk management and compliance engagements throughout North America. Fujitsu Consulting now has more than 50 consultants dedicated to enterprise risk management and compliance.

“M3K is known for the quality of its consulting and its dedication to exceptional client service. At Amadeus, we know that these attributes will be embraced and enhanced within Fujitsu Consulting–an organization that is known for the delivery of innovative and customer-centric business solutions,” said Yves Leblanc, president and CEO of Amadeus International Inc. “While the need for enterprise risk management and compliance is shared by all enterprise-scale organizations, M3K brings to Fujitsu deep and specialized experience within the financial and public sector vertical markets–further differentiating Fujitsu Consulting’s value and client relevance.”

Enterprise risk management is a structured approach to managing all business and technology risks and results in an improved ability for an organization to evaluate and manage uncertainty. New legislation such as Sarbanes-Oxley in the U.S., or Bill 198 in Canada, has become a driving force for organizations to implement governance controls and codes of conduct.

Fujitsu Consulting’s growth strategy is focused on enhancing its presence and capabilities in key North American markets and segments, in part, through strategic acquisitions. Today’s announcement of the M3K transaction is the seventh acquisition that Fujitsu Consulting has announced within the last 17 months, including; Rapidigm of Pittsburgh, PA, Greenbrier & Russel of Chicago, IL, GIM Risk Management of Montreal, QC, BORN Information Services of Minneapolis, MN, Cendera Technologies of Dallas, TX, and a strategic investment in Moxxi Medical of Montreal, QC.
