Fujitsu Consulting Acquires GIM Risk Management

Purchase of Montreal-based Company extends Fujitsu’s Risk Management and Compliance capabilities; aligns to North American growth strategy

Montreal, QC, February 9, 2006 — Fujitsu Consulting today announced that it has acquired the business and capabilities of GIM Risk Management of Montreal. As part of a long-term strategy to enhance its presence and capabilities in key North American markets and industries, the addition of GIM will extend the company’s reach in the public and financial services sectors. The acquisition allows Fujitsu Consulting to better serve customers who are required to comply with new and evolving Canadian and US financial disclosure standards.

“GIM Enterprise Risk Management is well known for its unique technologies, expertise and inventive approach, particularly in developing integrated business governance, compliance and risk management programs,” said André Pouliot, executive vice president of Fujitsu Consulting. “This is an important extension of our current capabilities and offerings, not only in Quebec, but throughout Canada and the United States.”

“Through this acquisition, Fujitsu Consulting customers will now have access to a new and powerful risk management consulting capability – one that is accretive to its proven expertise and methodologies in information technology, security management and process reengineering,” said Luc Vincent, co-founder of GIM Risk Management. “In addition, existing GIM customers will now benefit from enhanced access to a broad suite of consulting and integration services from Fujitsu Consulting.”

Enterprise risk management is a structured approach to managing all business risks and results in an improved ability for an organization to evaluate and manage uncertainty. New legislation such as Sarbanes-Oxley in the US, or Bill 198 in Canada, has become a driving force for organizations to implement governance controls and codes of conduct.

To best leverage the talent of more than 30 highly qualified risk management consultants who will now be joining Fujitsu Consulting, a new enterprise risk management business unit will be established.

The financial terms of the acquisition were not disclosed.
