(1) To ensure the transparency and objectivity of the process to select directors of the company;

(2) To ensure the transparency and objectivity of the process to determine executive compensation, as well as the appropriateness of compensation systems and levels, etc.

The committees will discuss the items listed below and make recommendations to the Board of Directors.

(1) Proposals on the nomination of directors to be submitted to shareholders' meeting;

(2) Proposals on executive compensation to be submitted to shareholders' meeting;

(3) Proposals on the calculation of compensation for each level of director and corporate executive officer, etc.
